2. Milestone-Based Projects

Projects structured around defined milestones are subject to the following:

  • Completed milestones are non-refundable upon client approval and sign-off
  • Work-in-progress milestones may be refunded proportionally based on completed deliverables
  • Future milestones may be cancelled without charge with 14 days written notice

3. Hourly Engagement

For hourly-based consulting or development work, refunds are calculated based on documented hours minus any non-refundable third-party costs incurred on the client's behalf.

4. Non-Refundable Items

The following are non-refundable:

  • Third-party licenses, domains, or hosting fees already procured
  • Completed and approved design concepts or brand guidelines
  • Consultation fees for discovery and strategy sessions

5. Refund Request Process

1. Scope of Services

Fresh Digital Grove provides digital design, web development, and consulting services as described in individual project proposals and service descriptions. All services are performed with professional diligence according to industry standards.

2. Contract Formation

Contracts are formed upon written acceptance of a project proposal by the client. Oral agreements require written confirmation to be binding. Project proposals remain valid for 30 days from issuance unless otherwise specified.

3. Payment Terms

  • Invoices are payable within 14 days of issuance unless otherwise agreed
  • Advance payments may be required for projects exceeding 5,000 EUR
  • Late payments incur statutory interest rates under German law (BGB §288)
  • All prices are exclusive of VAT (Umsatzsteuer) unless explicitly stated

4. Intellectual Property

Upon full payment, the client receives exclusive rights to use all deliverables for the agreed purpose. Fresh Digital Grove retains the right to use anonymized project materials for portfolio and case study purposes unless explicitly declined by the client. Source code ownership transfers to the client upon project completion for web development projects.

5. Liability and Warranty

Fresh Digital Grove warrants that services will be performed in accordance with professional standards. Our total liability is limited to the project value. We are not liable for indirect damages, data loss, or third-party claims resulting from client modifications to delivered work products.

6. Confidentiality

Both parties agree to maintain confidentiality regarding proprietary information exchanged during the project. This obligation survives project termination for a period of 3 years.

7. Termination

Either party may terminate the agreement with 30 days written notice. Upon termination, the client is liable for all work performed and expenses incurred up to the termination date. Work-in-progress is delivered in its current state upon payment of outstanding amounts.

8. Dispute Resolution

Any disputes arising from these terms shall be governed by German law. The place of jurisdiction is Kiel, Germany. Before initiating legal proceedings, parties agree to attempt amicable resolution through direct communication.
